Team/Role Overview
Provide legal support to the Citigroup Country Officer (CCO) and country management to protect the Citigroup franchise and to assure Citigroup is appropriately managing legal risk related to its business activity in the country.
What you’ll do
Advising the CCO and Country Management on Franchise Legal Issues.
The Country Counsel is expected to advise management proactively on legal and regulatory risks and developments that affect the business activity that Citigroup conducts in the country or from offshore.
The Country Counsel is expected to be aware of major issues in the various businesses in the country that could give rise to regulatory concerns or franchise risks. To perform this responsibility, the Country Counsel must understand the businesses operating in the country and the legal/regulatory regimes that affect those businesses. The Country Counsel is expected to be proactive and probe actively to assure that any potential franchise issues are being addressed appropriately by the businesses and functions and that the right resources are being focused on these issues.
The Country Counsel should participate, from a legal and reputational perspective, in strategic decisions affecting Citigroup’s businesses in the country.
The Country Counsel should be part of any crisis management team, leading or participating in any internal investigations, as appropriate.
The Country Counsel should be a member of the Country Coordinating Committee .
The Country Counsel is expected to be aware of significant legal and regulatory concerns that have arisen at other institutions in the country; whenever is publicly available so that he or she can advise management as to the potential impact on practices within Citigroup. The Country Counsel, in coordination with business counsel in the country, should participate in industry associations and build relationships with colleagues at peer institutions, as appropriate.
The Country Counsel, in coordination with business counsel, is expected to assess the legal risks faced by our businesses in the country and, together with Regional Counsel and Compliance, assure that Citigroup is appropriately managing those risks and is in compliance with applicable laws and Citigroup standards of doing business.
Working with Regulators.
One of the principal responsibilities of the CCO is to be the country’s primary interface with local regulators, and the Country Counsel should work closely with the CCO to perform this function. The Country Counsel should develop a working relationship with the regulators, anticipate and inform the CCO, country business managers and regional counsel of significant regulatory developments and help to create and implement strategies to bring about desired changes in local laws or regulations. As a general guideline, the Country Counsel should meet with the local regulators at the appropriate level at least twice a year for the purpose of ensuring an on-going dialogue. Individual circumstances or regulatory expectations may dictate the need for either more frequent or less frequent meetings.
Ensuring the Consistency of Citigroup Policies with the Country’s Legal Requirements.
It is the responsibility of the Country Counsel to review or ensure the review of applicable Citigroup policies to determine whether any provisions of those policies would be inconsistent with local law or regulation, or otherwise create a franchise concern. Country Counsel should work with the CCO and the policy owners to obtain any necessary modifications or waivers. In reviewing and enforcing compliance, the Country Counsel should focus not only on the letter of any applicable policy, law or regulation but also on its underlying spirit and intent.
Legal Vehicle Issues.
The Country Counsel must be familiar with the legal vehicles operating within the country and with the legal and regulatory framework that governs how they operate. In the event of any legal or regulatory development that affects a legal vehicle, the Country Counsel must advise the manager of that legal vehicle or assure that advice is provided by appropriate counsel. The Country Counsel should be an active member of any appropriate corporate governance committee in the country, and should work closely with the Country CFO and business management to simplify the legal vehicle structure, as appropriate.
Coordinating Provision of Legal Services.
The Country Counsel, working in coordination with Regional Counsel, is responsible for ensuring that the appropriate legal resources, both internal and external, are employed to address the company’s legal needs. If issues are outsourced to outside counsel, the Country Counsel is expected to manage or ensure the management of outside counsel and, where warranted, provide his or her own perspective to business and country management on the implications of the advice of outside counsel.
Assisting Overseas Colleagues.
Citigroup engages in many projects and acquisitions that may implicate the laws or regulations of the countries in which we do business. Country Counsel is expected to respond in a timely manner to requests from Citigroup colleagues for information on the laws, regulations and franchise issues in the country in which he or she is based and to demonstrate a “boundaryless” spirit toward such projects. Citigroup colleagues who make such requests must be sensitive that Country Counsel (a) receive a large number of requests for information, which they must prioritize with their ongoing workload, and (b) are not specialists in all areas of law or products and may need to consult outside experts.
