Job Overview

This position supports the firm’s global derivatives markets by providing essential negotiation and contract administration support for the firm’s International Swaps and Derivatives Association (ISDA) contracts and other Over-the-Counter (OTC) derivatives and clearing documentation. The Negotiator is responsible for managing all stages of the contract process from the initial drafting, internal escalations, platinum counterparty outreach through to execution.  In a complex and high-volume market, negotiations need be conducted in a timely, thorough and efficient manner. This position is particularly focused on comprehensive complex negotiation coverage of ISDA contracts and other OTC derivatives and clearing documentation. This position is also expected to act as a leader within their coverage area, contributing to team initiatives, training and guidance.


The responsibilities of the position also include review of constitutional documentation and netting opinions, review and summarization of bespoke agreement provisions, offering reliable counsel and guidance to the firm’s various internal stakeholders, consistent follow up with internal business stakeholders and external customers, maintaining detailed records of negotiations in legal technology systems, along with a committed effort to stay apprised of new and changing regulatory and legal issues and industry initiatives. The function requires extensive interaction with the firm’s institutional clients and their internal/external counsel as well as coordination with the firm's trading/sales, legal, credit and tax areas. The role is also expected to have a well-developed understanding of the derivatives industry and documentation standards and be able to act as subject matter expert (SME) for more junior negotiators.

Responsibilities:

  • Responsible for all stages of the contract process for the team from the initial draft through execution
  • Handles any internal/external escalations and escalate to senior manager when necessary
  • Advisor to internal partners including business, credit and operations teams to ensure that those partners are adequately advised on the terms of agreements being negotiated and the impact of external counterparty’s requested terms.
  • Reliable partner to various internal operational and business teams in relation to the support of the firm’s global platinum client relationships.
  • Continuously stay informed of regulatory changes, new regulations, internal policy changes and developments in the law
  • Appropriately assess risk when business decisions are made, demonstrating particular consideration for the firm's reputation and safeguarding Citigroup, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency, as well as effectively supervise the activity of others and create accountability with those who fail to maintain these standards.

Qualifications:

  • 2-5+ years relevant legal internship and/or law practice experience
  • Banking or financial industry experience, including laws related to banking regulations
  • Knowledge of international laws, regulations and practices while staying abreast of regulatory and legal environment, internal policies and industry trends that impact the business
  • Experience with complex deals, demonstrated ability to analyze issues and develop legal solutions
  • Effective communication and negotiation skills and ability to build and maintain trusted relationships
  • Excellent interpersonal, organizational and relationship management skills
  • Proven ability to apply sound judgement while managing assignments in a demanding, fast-paced environment
  • Well-developed understanding of the ISDA Master Agreement and related supporting documentation preferred
  • Bar license in good standing to practice law

Primary Location Full Time Salary Range:

$140,640.00 - $210,960.00
