Team/Role Overview

The role is a product lawyer on the Markets Legal Issuance Solutions team in Dublin.  We advise on the issuance of structured bonds, notes, certificates and warrants globally (excluding the US). The team was established in Dublin in 2017 to become a centralised hub of issuance expertise for Citi across multiple asset classes (Rates, Equities, Credit) and has grown to a team of 8 lawyers.

IN recent years, Citi’s Global Markets Issuance (GMI) business has grown exponentially and has successfully increased its market share in multiple European jurisdictions and in various non-US ‘Reg S’ markets which has translated into new clients, a higher volume of trades and a wider product set. This remains a critical area of legal coverage for Citi due to the complexity of the business.

The team advises on the following matters:

  • issuance platform maintenance ;(e.g. annual updates / supplements of GMTN prospectuses and offering circulars, maintenance of repack programmes);

  • complex structured products trades; (including regulatory capital trades, exchangeable bonds, credit linked notes and repack trades);

  • regulatory and contractual obligations of Citi relevant to issuance of structured products;

  • negotiation of distribution agreements with our distributor clients;

  • assisting with platform expansion requests (e.g. advising on new issuer entities, assessing new jurisdictions for issuance, on-boarding new listing venues).

The GMI business is involved in the development and distribution of structured financial products for institutions, family offices, discretionary wealth managers, private banks and retail distributors. The products are linked to a variety of asset classes, including equities, fixed income, commodities and credit.

The Dublin team works closely with the product desks in London, sales teams across Europe, legal teams in Asia / North America, acting as an important partner to provide advice and assistance at all stages of the product lifecycle, including assisting in the structuring of transactions, managing the execution process, drafting, reviewing and negotiating documentation of all types.

The role involves the management of Citi's legal and regulatory risk and to consider the appropriateness of products both for investors and for Citi in its capacity as arranger of such transactions. As part of the internal control architecture of the firm, the Legal function plays an important role in the approval process for all new and/or innovative structures as well as protecting the Citi franchise through good judgment and compliance with firm-wide policies.

What you’ll do

  • Provide legal counsel to the GMI business, provide subject matter expertise and interpretations of relevant laws, rules, regulations, and industry practices, and advise business management on legal matters impacting the business

  • Partner with legal peers to objectively evaluate business proposals by applying institutional knowledge and risk appetite against industry standards, widely accepted business practices, laws, rules, and regulatory guidelines, escalating as appropriate

  • Collaborate across internal lines of business, control/support functions and/or external counsel to achieve coordinated and efficient outcomes on matters of common interest, coordinate closely with the Legal team on a regional and global basis

  • Proactively identify, evaluate, and contribute to the appropriate management of legal, regulatory, and reputational risk by collaborating with Citi’s Compliance and Risk functions, following relevant legal developments, participating in internal projects, escalating as appropriate

  • Manage day-to-day legal activities as a subject matter expert in area of responsibility and provide advisory services to business partners

  • Monitor management of complex legal issues and transactions, escalating when necessary

What we’ll need from you

  •  Relevant industry experience, preferably in financial services law (in-house or private practice)

  • Experience with complex deals, demonstrated ability to analyze issues and develop legal solutions

  • Effective communication and negotiation skills and ability to build and maintain trusted relationships

  • Excellent interpersonal, organizational and relationship management skills

  • Proven ability to apply sound judgement while managing assignments in a demanding, fast-paced environment

  • Professional legal qualification
