We’re currently looking for a high caliber professional to join our team as Lead Counsel II, Vice President - Citi Wealth Asia -Capital Markets investments-Mumbai-Hybrid (Internal Job Title: VP- C13) based in Mumbai. In this role, you’re expected to:

  • The Lead Counsel II is a senior level position responsible for providing legal guidance and thought leadership to the business. Based at the Citi Mumbai Global Legal Office and being part of the Citi Wealth Asia Legal team, you will provide legal advice, support and guidance to the Citi Wealth Asia – Capital Markets businesses (the “Business”) of a global bank (including the Citi Private Bank (HK & Singapore) and the International Personal Bank (Singapore)).
  • This role requires a pragmatic, proactive legal counsel with thorough understanding of the Business, combined with a solid conceptual / practical grounding in the laws and regulations for the geographies in which we operate. Provides input into strategic decisions, exercising sound legal judgement to develop proactive, risk-appropriate, and commercially practical business-oriented solutions.
  • Advising on structuring, legal issues and documentation of a wide range of Capital Markets products (including structured notes, fixed income, equities, commodities, OTC derivatives, market linked instrument, ISDA Master agreements/credit support documents) in the Asia region.
  • Extensive interface with the Wealth Capital Markets products partners as well as business execution, credit, risk, compliance, operations and other functional partners on both a cross-region and cross-function basis.
  •  Working with internal and external legal advisors across the globe on offering Global Wealth capital markets products and implementation of global projects.
  • Assisting the Citi Global Wealth businesses & related functions to structure transactional/client solutions.
  • Advise the Citi Global Wealth businesses on the implementation of  U.S., Singapore and Hong Kong laws, regulations, guidelines and policies affecting capital markets products.
  • Review of product programs relating to derivative & capital market products.
  • Negotiating ISDA Master Agreements & CSA/CSD.
  • Reviews relating to netting/collateral enforceability of ISDA-documented derivatives transactions
  • Responsible for providing legal counsel to the Business, participating in strategic initiatives, providing subject matter expertise and interpretations of relevant laws, rules, regulations, and industry practices, and advising business management on legal matters impacting the business
  • Partners with legal peers to objectively evaluate business proposals by applying institutional knowledge and risk appetite against industry standards, widely accepted business practices, laws, rules, and regulatory guidelines, escalating as appropriate
  • Collaborates across internal lines of business, control/support functions and/or external counsel to achieve coordinated and efficient outcomes on matters of common interest; coordinate closely with the Legal team on a regional and global basis
  • Participates in Business planning and development initiatives; contributes to business objectives by providing thought leadership using knowledge of industry, laws, and regulations
  • Proactively identifies, evaluates, and contributes to the appropriate management of legal, regulatory, and reputational risk by collaborating with ICRM & Risk, following relevant legal developments, participating in internal projects, escalating as appropriate
  • Manages day-to-day legal activities as a subject matter expert in area of responsibility and provide advisory services to business partners
  • Monitors management of complex legal issues and transactions, escalating when necessary
  • Appropriately assess risk when business decisions are made, demonstrating particular consideration for the firm's reputation and safeguarding Citigroup, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency, as well as effectively supervise the activity of others and create accountability with those who fail to maintain these standards

As a successful candidate, you’d ideally have the following skills and exposure:

  • 6-10 years of relevant legal experience with a major law firm or financial institution
  • Law degree; Admission to the Bar (Hong Kong, Singapore, UK, US, Australia) is preferred but not a pre-requisite
  • Effective communication and negotiation skills, good written and spoken English
  • Practical and solution-oriented, ability to build trusted relationships and manage stakeholders’ expectations
  • Experience in complex deals, demonstrated ability to analyze issues and develop legal solutions
  • Able to work independently and proven ability to apply sound judgement while managing assignments in a demanding, fast-paced environment
  • Motivated and with initiative to follow-up on all matters assigned
  • Strong legal analytical skills and judgment
  • Willingness to learn
  • Team player
  • Familiarity with legal and regulatory framework on securities laws in Singapore, Hong Kong and U.S.
  • Preferred, In-house experience supporting capital markets investments business
