Role Overview:

This lawyer will be primarily responsible for providing transactional legal advice in relation Citi’s European leveraged finance origination franchise.  There will also be opportunity to support Citi’s Special Assets Group, the team which manages Citi’s distressed loan and other credit positions.

As part of the internal control architecture, this lawyer will also ensure compliance with Citi policies and procedures.

Job Background/context:

The role is based in the London office, and forms part of Global Investment Banking Lending team, with lawyers based in London and New York. 

What you’ll do

The role will involve:

  • Reviewing and negotiating documentation in loan transactions from inception to completion, including termsheets, grids, confidentiality agreements, legal opinions, commitment and mandate papers, credit agreements, intercreditor agreements and fronting arrangements
  • Providing advice in relation to amendments and waivers of existing facilities and other ad hoc support during the life cycle of a facility
  • Providing support to other origination and product teams within the bank where they need guidance in relation to leveraged finance documentation
  • Gaining familiarity with Citi’s policies and procedures, template documentation and internal knowhow, and completing Citi’s loans credit agreement checklist and classification review checklists, where necessary
  • Updating knowhow, assisting in the development of new knowhow and tracking important documentation trends/negotiation flash points for the business
  • Identifying legal risks and opportunities presented by transactions and ensuring that Citi’s policy, legal and regulatory standards are maintained
  • Liaising with other control groups within Citi, for example, Risk, Accounting Policy, Sanctions, Tax and Compliance

Knowledge/Experience:

  • Syndicated lending or private credit experience
  • Awareness of range of common financing structures
  • Specific leveraged finance experience beneficial
  • Awareness of current topical issues affecting the loan market
  • Understanding of the commercial dynamics of the syndicated loan market

Skills:

  • Attention to detail and sound contractual interpretation
  • Able to apply legal judgment in a commercial context
  • Self-starter able to assess when to escalate appropriately
  • Excellent technical skills and analytical ability
  • Strong time management and prioritisation skills
  • Ability to break-up and simplify complex issues and communicate concisely and clearly
  • Ability to work in a professional but demanding environment

Additional Qualifications:

Solicitor qualified in England and Wales with a right to work in the United Kingdom.

Exceptional candidates with the necessary skills and type of experience will be considered for the position
