Citi Trust provides Wealth and Estate planning across all jurisdictions where Citi Bank is represented for target market clients.  The product offering includes both standard and customized Trust and Company investment holding vehicles.  In this role the person will be expected to effectively and accurately contribute to the activities involved in providing support solutions needed to enhance the business’ ability to function as a best-practice, knowledge-based and service-oriented company as well as keep abreast with the increasing demand from regulators and clients for the highest standards of corporate governance and stringent compliance with a growing list of complex regulations.


  • Perform corporate secretary functions including scheduling board meetings, providing notices and requisite materials, completing board resolutions as required and ensuring all appropriate approvals and sign-offs obtained.
  • To accept service of all Notices and legal communications on behalf of companies as Registered Agents and to ensure same is forwarded/directed to the managers of companies as required.
  • To maintain the corporate documents, records and registers for companies and to ensure filing of appropriate registers, documents and any required notices with the Companies Registry including filing of Annual Returns.
  • To liaise with the Registrar of Companies in all jurisdictions on all matters pertaining to the administration of companies and to notify Registrar of Companies (Registrars) in event of any changes to memorandum or articles of association, name of company, registered office and agent, including changes to registers of directors, officers, charges and seal register.
  • Provide Corporate Director and Nominee Services where necessary including performing due diligence and execution of relevant Minutes and documents where necessary and to liaise with legal counsel where necessary.
  • To incorporate and liquidate companies and prepare required minutes, notices, filings and advertisements related thereto and to keep abreast of any and all changes in corporate legislation on an ongoing basis and advise management accordingly.
  • To obtain Certificates of Good Standing and any other documents required from the Companies Registry. Liaise with internal fee billing unit and the Registrars to arrange for payment of Annual Government fees for companies administered in Citi Trust Centers including the Nominee Companies incorporated in other locations.
  • Reconcile Citi Trust International records with the Registrar offices to ensure that all company records are current and properly reflected, ensuring appropriate follow up is conducted and rationale for any variances is known and documented as necessary in order to facilitate the collection and payment of all fees.
  • To liaise with personnel in other Citigroup locations to coordinate and facilitate the operations/functions of the Registered Agent and Office.
  • Maintain corporate records of corporate/nominee entities wherever incorporated and to ensure all necessary filings with Registrars in various jurisdictions are carried out, and to also ensure Citi Trust is in compliance with all regulatory boards with respect to required filings for all of its nominee companies and legal vehicles. Work with Corporate Services team to ensure that procedures are current. 
  • Also ensure that training needs are identified and conducted as necessary. Oversee the day to day operation of the Intra Company Affiliate Services (ICSA) between Citi offices, ensuring that performance standards are met, and also track corporate service activities ensuring that fees and expenses are recouped.
  • Ensure the payment of regulatory and business license fees Perform materiality, due diligence and risk assessment reviews of CBL internal and external service providers


  • Bachelor's Degree in business or related discipline; law


  • Experience within trust / corporate services


  • Knowledge of company and/or trust administration practices/law
  • Proficient in MS Office applications (Excel, PowerPoint, Word, Outlook)
  • Flexible and prepared to undertake a variety of functions
  • Excellent time management and organizational skills
  • Ability to work under pressure and meet deadlines
  • High level of accuracy and attention to detail
