Vice President Product Specialist

The Restructuring transaction manager is a VP level position responsible for managing fiduciary risk on transactions within the Issuer Services fiduciary portfolio.

Responsibilities:

  • Manage post-closure fiduciary matters such as amendments, security transfers, refinancings, restructures, defaults and exercises of trustee discretion.
  • Work with external and internal counsel through review, negotiation and execution of relevant documentation in relation to Issuer Services EMEA fiduciary matters on e.g. project finance & global loan transactions, structured finance transactions, collateral agent, Eurobonds and EMTN programmes
  • Participate in committee meetings and provide updates on portfolio matters
  • Ensure accurate and timely set up and ongoing maintenance of transaction files and use of database.
  • Create documentation file and chase for outstanding documents/agreements
  • Manage post-signing security arrangements for Loan transactions and ongoing administration and liaison with relevant deal counterparts.
  • Open, verify, manage and close as appropriate cash and custody accounts on and offshore
  • Arrange and/or attend Noteholder meetings. Collate vote results
  • Check publication requirements within documentation and arrange for such notices to be published in accordance with the Terms and Conditions
  • Produce transaction synopsis for handovers 
  • Act as a focal point for allocated fiduciary matter
  • Build and develop relationships with clients, lawyers and financial advisers
  • Contribute to staff development through mentoring and knowledge share
  • Appropriately assess risk when business decisions are made, demonstrating particular consideration for the firm's reputation and safeguarding Citigroup, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency.

Qualifications:

  • At least 3 years of relevant corporate trust experience
  • Fiduciary knowledge required 
  • Experience in review and negotiation of legal documentation
  • Strong transaction management skills
  • Ability to communicate across the organizational construct externally and internally
  • Ability to work unsupervised and adjust priorities quickly as circumstances dictate
  • Ability to work under pressure and manage deadlines or unexpected changes in expectations or requirements
  • Demonstrated problem-solving and decision-making skills
  • Demonstrated analytical and influencing skills
  • Consistently demonstrates clear and concise written and verbal communication

Education:

  • Bachelor’s degree/University degree or equivalent experience
