Job Purpose:

The role will be part of the UK CAO Office, working alongside others responsible for providing support on oversight and governance of UK legal entities. This role reports into the UK Legal Entity management lead and is a critical part of the Citi franchise given the significance of the legal entities.    

Job Background/context:

The UK CAO Office supports the designated Senior Managers and the UK Executive Team in all products, functions and legal entities in discharging their obligations and ensuring requirements are embedded consistently into governance, strategic, risk and controls, and regulatory initiatives and processes throughout the organisation. The UK CAO Office also provides support in establishing oversight requirements for strategic key programmes and regulatory liaison. The Office has joint reporting lines into the CGML CEO and CBNA London Branch Head and aligns with the UK and EMEA Executive Office teams as well as the Regulatory Liaison Office for relevant information exchange.

The role of UK legal entity oversight and governance is to ensure clear understanding and awareness of the expectations for the UK legal entities and raising awareness; connection with the legal entity CEOs/heads, products and functions; providing support on UK legal entity governance; support on a number of legal-entity-specific deliverables and areas of focus, including strategy, governance, frameworks, and regulatory deliverables; and support in oversight, awareness and addressing key matters and issues impacting the UK legal entities.

Key Responsibilities of the UK legal entity oversight and governance lead support include:

  • Primary ownership and accountability for the main UK legal entity governance committee and oversight of relevant UK legal entity governance meetings, including agenda setting, preparation and co-ordination.
  • Supports in shaping and developing strategic plans for the UK legal entities, and monitoring of its progress throughout the year.
  • Engages with the Company Secretary to provide connection between the UK legal entity management and the Boards as relevant on agendas and preparation.
  • Provides support in developing and maintaining legal-entity-specific frameworks and processes.
  • Provides support in oversight of new product approvals for the key initiatives impacting the UK legal entities.
  • Establishes connection with the UK legal entity heads, products and functions to raise awareness and support in addressing matters impacting the respective UK legal entities, and managing dependencies and co-ordinating execution.
  • Supports in preparation of regulatory deliverables as required.
  • Plays a key role in supporting oversight and delivery of strategies and initiatives impacting the UK legal entities.

The position involves a significant amount of interaction with senior management and direct involvement in a number of initiatives impacting Citi’s UK legal entities. The role will provide a strong understanding of businesses, regulatory environment and key issues impacting the UK legal entities and connection with Citigroup.


  • Experience in strategy, governance, technical project management and co-ordination.
  • Experience and applied knowledge in UK regulations.
  • Understanding and experience in legal entities management.
  • Recognised leader who embraces change and has proven experience of delivering strategic initiatives
  • Experience of teams in different locations, preferably in a global / complex / matrix organisation.
  • A proven track record of advocacy and in across diverse stakeholder groups; including regulators, senior managers and legal entity management.


  • Excellent written and oral communications skills, with a commanding and convincing delivery and the ability to synthesise complex concepts, translate into ‘user friendly’ and meaningful manner and effectively present in text and slide format.
  • Excellent stakeholder management skills, with the ability to understand drivers and overcome barriers.
  • Analytical, with the ability to comprehend complexity and engage strategically.
  • Strong organisational skills and the ability to multi-task effectively in a high-volume and complex environment with changing priorities with a practical solutions-driven approach
  • Strong attention to detail.


  • Likely to be educated to degree level with a post degree and/or professional qualification.


  • Self-starter, ability to quickly assimilate and analyse information across a variety of topics.
  • Proven ability to partner and collaborate throughout the Firm, excellent influencing, facilitation, and partnering skills, with the ability to build relationships, partner effectively and build a strong internal network
