Job Purpose:

To assist in the provision of legal support to:

  • the Fixed Income Finance Desk;
  • the Equity Finance Desk; and
  • Global Markets Treasury

Job Background/context:

Part of a team expected to comprise three lawyers based in London (one of whom will be an incremental hire) with oversight of an additional legal professional in Belfast, as part of the wider EMEA Markets and Securities Legal team (“MSS Legal”), providing legal advice and product support across a broad range of Securities Financing Transactions (including repos, securities lending transactions and secured financing structures) and alternatives thereto, as well as money market instruments (CDs, term deposits, etc.).  The team also provides expert support in connection with the review of legal opinions as part of Citi's "Well Founded Basis" Framework.  In addition, the role will include providing, and oversight of the provision of, legal advice and support to Global Markets Treasury (in relation to liquidity management and intra-group funding).  The role is therefore both client-facing and concerned with the infrastructure of the firm. 

Key Responsibilities:

The role involves working closely with the relevant desks, providing advice and assistance in all stages of the product cycle, including in the structuring of transactions, managing the execution process, drafting, reviewing and negotiating the relevant documentation, including alternatives to traditional SFTs (e.g., TRSs, pledge structures and uncollateralised securities borrowing and lending), as well as acting as a point of escalation and support to the team in Belfast that negotiates master agreements.  The team also provides expert support in connection with the review of legal opinions relating to the certainty of netting, as part of Citi’s “Well Founded Basis” governance framework and advises other product lawyers within MSS Legal, who are using repo product architecture in otherwise unrelated product areas. In supporting the Global Markets Treasury team (which is concerned with the liquidity of the so-called “bank chain”), responsibilities include documenting structured reverse repos of ABS and liquidity management more generally.

Development Value:

The role will provide the successful candidate with exposure to a wide variety of financing and treasury products across a wide range of financing businesses.  In particular, the successful candidate will gain an insight into the infrastructure of the firm (i.e., how the firm functions, as opposed to how a particular desk supports its client base) and how everything comes together in the financing of the firm’s overall business.

Person Specification

Knowledge/Experience:

General transaction experience in at least some relevant product areas.

Experience working as a finance lawyer at a major law firm and/or financial institution.  In-house experience preferred.

Skills:

  • Excellent technical and analytical skills.
  • Well-developed written and oral communication skills.
  • Well-developed drafting skills.

Qualifications:

Degree level education plus legal qualification.  Admitted (or prepared to re-qualify as soon as possible) in England and Wales.

Exceptional candidates who do not meet these criteria may be considered for the role provided they have the necessary skills and experience.
