Job Background:

The EMEA CGW Legal Team supports CGW’s EMEA booking centres in the UK, Switzerland, Luxembourg and Jersey, and the market region banking teams covering EMEA. As a Lawyer in this team you will work primarily with the EMEA Investment Finance (IF) Legal Counsel in providing legal support to CGW EMEA’s Wealth at Work and IF businesses.

Job Purpose:

Working as part of the EMEA CGW Legal Department, the successful candidate will primarily be engaged in providing legal support to the Wealth at Work business. The role involves a wide range of work, including structuring, advising on legal and regulatory issues as well as drafting the lending documentation for the Wealth at Work business. The Wealth at Work business focusses on clients working in several specific sectors including Law Firms, Professional Services firms, Asset Managers, Venture Capitalists and Private Equity. The business aims to provide the full suite of Citi products, in particular lending solutions, to these individuals.  

In addition to this main focus, the successful candidate will be exposed to a wide range of legal work across the full spectrum of CGW Investment Finance products including margin lending, residential real estate, commercial real estate, aircraft finance, art advisory and subscription credit financing. Wealth at Work and CGW’s broad client base (both retail and professional) and complex multi-jurisdictional operating model means that implementation of regulation is often not straight forward and requires careful analysis and an eye for detail. The role will involve working directly with business teams in London and Luxembourg as well as colleagues globally.

Key Responsibilities:

  • Support Wealth at Work by overseeing all lending transactions from inception to completion, addressing key legal issues, participating in the negotiation of core documentation and liaising with external counsel (where necessary) and transactors to ensure efficient and structured process
  • Review product programs for Wealth at Work, liaise with compliance to revise on an on-going basis Wealth at Work documentation/templates and advise Wealth at Work on day to day legal questions.
  • Provide general support to business projects; client complaints; cross-border issues.
  • Provide ongoing support to IF on a variety of legal issues arising in connection with existing transactions, new regulations and Citi policies.
  • Provide EU regulatory advice on lending products offered at CGW (e.g., Consumer Credit, Mortgage Credit Directive etc).
  • Close liaison with Compliance, Risk and Client Service functions.
  • Global co-ordination: The role requires regular interaction with global Wealth at Work and CGW IF legal colleagues to ensure that global product launches work from an EMEA legal and regulatory perspective.

Knowledge/Experience:

  • A general grounding in financial services regulation and experience (either in private practice or in-house) with lending is required.
  • Strong attention to detail: Ability to apply the care and exactness required in client disclosure documentation.
  • Some experience with applicable EU regulation would be beneficial.
  • Ability to engage with a senior legal team and a multi-functional team on a partnership basis.
  • Able to meet the time demands of a profitable and market-driven business.
  • Conceptual thinking, creativity: Ability to view the larger picture of the product process and associated risks, and to advise senior management on appropriate structures, applicable regulation and best practice.
  • Ability to assimilate complex issues and communicate concisely and clearly.
  • Able to keep on top of a rapidly evolving regulatory environment whilst assisting the business to develop innovative but appropriate products and structures.
  • Able to identify legal risk and to escalate issues on an appropriate basis.
  • Ability to work in a professional but demanding environment.
  • Experience managing a team.

Qualifications:

  • The successful candidate will ideally be 4-8 years PQE (or equivalent). However, exceptional candidates with the necessary skills and type of experience may be eligible to be considered for the position, regardless of their level of PQE and “on the job training will be provided".
